This End User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and PhantomNote ("Licensor") for the PhantomNote macOS application and related materials ("Software").
By installing, copying, or using the Software, you agree to this EULA. If you do not agree, do not install or use the Software.
1. Grant of license
Subject to payment of the applicable one-time license fee (currently $25 USD) and compliance with this EULA, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to install and use one copy of the Software on Mac computers you own or control, solely for your personal or internal business purposes.
2. Restrictions
You may not:
- Copy, modify, or create derivative works of the Software except as permitted by law
- Distribute, rent, lease, sell, or sublicense the Software
- Remove proprietary notices or labels
- Use the Software to build a competing product
- Share account credentials or bypass license verification
3. Ownership
The Software is licensed, not sold. Licensor retains all rights, title, and interest in the Software. You own your user-generated content (e.g., notes) created with the Software.
4. Updates
Licensor may provide updates, patches, or new versions. Unless otherwise stated, updates are subject to this EULA. We are not obligated to provide updates or support indefinitely.
5. Privacy
Use of the Software is also governed by our Privacy Policy.
6. Disclaimer of warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FEATURES SUCH AS GHOST MODE ARE PROVIDED ON A BEST-EFFORT BASIS AND MAY NOT WORK WITH ALL CAPTURE OR SHARING TOOLS.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE LICENSE FEE PAID FOR THE SOFTWARE.
8. Termination
This EULA is effective until terminated. It terminates automatically if you breach any term. Licensor may terminate your license upon refund, chargeback, or Terms violation. Upon termination, you must cease use and uninstall the Software.
9. Export compliance
You agree to comply with applicable export control and sanctions laws and not use the Software in prohibited jurisdictions or for prohibited end uses.
